Areliaa Affiliate Program - Terms & Conditions
A. Overview
This Agreement sets forth the terms and conditions (the “Terms”) governing your participation in the Affiliate Program (the “Program”) operated by Nate Marketing LLC, representing the brand Areliaa (“Areliaa,” “we,” “us,” or “our”).
By applying to or participating in the Program, you expressly agree to comply with and be legally bound by these Terms.
FAILURE TO COMPLY WITH THESE TERMS WILL RESULT IN IMMEDIATE TERMINATION OF YOUR AFFILIATE ACCOUNT AND ALL RELATED PRIVILEGES, AS WELL AS FORFEITURE OF ANY UNPAID COMMISSIONS.
Areliaa reserves the right to pursue any and all claims, legal and equitable, arising from any violation of these Terms.
Areliaa retains sole and exclusive discretion over the approval, acceptance, and/or rejection of any application to join or participate in the Program.
Areliaa reserves the right to modify these Terms at any time, with or without notice. Your continued participation in the Program following any change constitutes your agreement to be bound by such modifications.
B. Your Affiliate Link and Commission
Upon acceptance into the Program, Areliaa will provide you with a unique Affiliate Link. You are permitted to maintain only one (1) Affiliate Link.
Using multiple Affiliate Links or attempting to self-refer constitutes grounds for immediate termination and forfeiture of all unpaid commissions.
You may earn a ten percent (10%) commission (“Commission”) on the Net Revenue received by Areliaa for each Qualifying Purchase made through your Affiliate Link.
Net Revenue means the amount actually paid by the customer for the products purchased, excluding:
- any discounts or promotional codes applied to the order,
- shipping fees,
- sales tax or similar government-imposed fees,
- chargebacks,
- refunds, cancellations, or other adjustments.
Commissions shall not be earned on purchases made using employee discounts, wholesale pricing, or any promotional codes not expressly approved by Areliaa for commission eligibility.
Commissions will become eligible for payment 30 days after the date of sale, provided the corresponding order has not been refunded, canceled, or disputed.
Areliaa reserves the right to audit and adjust commissions if any errors, fraudulent activity, or ineligible transactions are discovered, regardless of when such discrepancies are identified.
Areliaa reserves the right to request, and you agree to provide upon request, valid government-issued identification and any additional information reasonably required to verify your identity and eligibility prior to the release of any commission payments.
Payouts are processed once your approved commission balance reaches a minimum of $100 USD. Influencers who have generated over $100 in commissions must contact us at collab@areliaa.com in order to request and receive their payout. Payout requests will be processed within seven (7) business days of receipt. Payments will be made via bank wire transfer or PayPal, at the affiliate's election.
Areliaa will pay commissions in accordance with its then-applicable payment policies and reserves the right to modify such policies at its sole discretion.
You are solely responsible for providing and maintaining accurate payment information. Areliaa is not liable for payment delays resulting from outdated or incorrect payment details.
C. Permitted Uses of Your Affiliate Link
You may promote your Affiliate Link exclusively to your personal audience, friends, and family through the following channels:
- Your personal social media accounts (Instagram, Facebook, TikTok, YouTube, Snapchat, etc.),
- Your personal website or blog,
- Private messages or emails,
- Other channels expressly approved in writing by Areliaa.
All promotions must comply with applicable laws, including FTC disclosure requirements, and these Terms.
D. Prohibited Uses of Your Affiliate Link
- Reusing Areliaa's or another creator's content without prior authorization.
- Sharing your Affiliate Link on public coupon, discount, or deal websites.
- Sharing your Affiliate Link on Reddit or similar forums.
- Bidding on Areliaa trademarks or variations thereof.
- Running paid ads referencing Areliaa products or trademarks.
- Promoting your Affiliate Link on third-party sites not owned by you.
- Posting on Areliaa’s official social profiles.
- Making misleading claims about Areliaa products.
- Disparaging Areliaa, its products, employees, or practices.
- Using offensive or inflammatory content.
- Attempting fraudulent transactions.
- Contacting Areliaa employees privately.
- Requesting internal business information.
Areliaa reserves the right to retroactively apply policy updates regarding prohibited practices if inconsistent with the Program’s intent.
E. Representations and Warranties
You represent and warrant that:
(a) You have legal authority to enter this Agreement.
(b) Participation will not violate laws or third-party agreements.
(c) You will not infringe third-party rights.
(d) Materials will not be defamatory or misleading.
(e) You comply with FTC disclosure rules regarding affiliate relationships with Areliaa.
F. Term
This Agreement begins upon acceptance and continues until terminated.
Areliaa may terminate participation at any time without notice.
G. Protection of Confidential and Proprietary Information
You agree not to disclose Proprietary Information belonging to Areliaa without authorization.
H. Indemnification
You agree to indemnify and hold harmless Areliaa and its affiliates from claims arising from your participation or violations of these Terms.
I. No Publicity
You may not issue public statements referencing participation without Areliaa’s consent.
J. Non-Disparagement
You agree not to make negative statements about Areliaa.
K. Miscellaneous
Independent Contractor status applies.
Non-Solicitation applies for 12 months after termination.
Assignment requires prior written consent from Areliaa.
Limitation of Liability applies to Areliaa.
Agreement governed by Wyoming law.
Influencers who generated over $100 in commissions must contact collab@areliaa.com to request payout.
